Welcome to Local SEO Portland. These Terms of Service (“Terms”) govern your access to and use of our website (localseoportland.com) and any services provided by Local SEO Portland (“we,” “us,” or “our”). By using this site or engaging our services, you agree to be bound by these Terms.
1. Overview of Services
Local SEO Portland provides digital marketing and search engine optimization services, including but not limited to Local SEO, AI/GEO optimization, Google Business Profile optimization, technical and on-page SEO, link building and citations, keyword research, content marketing, and website design and redesign. The specific scope of services for each client is defined in an individual proposal, agreement, or invoice.
2. No Guarantee of Results
While we use proven, data-driven strategies to improve search visibility, we do not guarantee specific rankings, traffic levels, lead volume, or revenue outcomes. Search engine algorithms are controlled by third parties (such as Google) and are subject to change at any time, which can affect performance regardless of the quality of work performed.
3. Client Responsibilities
To deliver services effectively, clients agree to:
- Provide timely access to necessary accounts, platforms, or website credentials
- Provide accurate business information for use in optimization efforts
- Respond to requests for feedback, approvals, or content within a reasonable timeframe
- Ensure they have the legal right to any content, images, or materials provided to us for use in their campaigns
Delays in providing access or information may affect project timelines and results.
4. Payments and Billing
Services are billed on a monthly or project basis, as outlined in the client’s proposal or invoice. Payments are accepted via Stripe, PayPal, Payoneer, and direct bank transfer. Invoices are due upon receipt unless otherwise agreed in writing. Late payments may result in a pause of active services until the account is brought current.
All fees are non-refundable once work has commenced for a given billing period, except where required by law or otherwise agreed to in writing.
5. Contract Terms and Cancellation
We do not require long-term contracts. Services continue on a month-to-month basis and may be cancelled by either party with written notice (email is acceptable) at least 14 days before the next billing cycle. Work completed prior to cancellation remains billable.
6. Intellectual Property
Unless otherwise agreed in writing, any custom content, strategy documents, reports, or website work created specifically for a client becomes the property of that client once paid in full. Local SEO Portland retains the right to use general methodologies, processes, and non-confidential techniques developed during the engagement for other clients.
We retain ownership of our own website content, branding, logos, and any proprietary tools or templates used in delivering services, which may not be copied, resold, or redistributed without permission.
7. Third-Party Platforms and Tools
Our services may involve the use of third-party platforms (such as Google, WordPress, or various SEO tools). We are not responsible for outages, policy changes, algorithm updates, or account suspensions caused by these third parties, though we will make reasonable efforts to help clients navigate such issues when they arise.
8. Limitation of Liability
To the fullest extent permitted by law, Local SEO Portland shall not be liable for any indirect, incidental, or consequential damages, including lost profits or lost business opportunities, arising from the use of our services or website. Our total liability for any claim related to our services shall not exceed the amount paid by the client for the specific service in question during the preceding month.
9. Confidentiality
We treat client business information, strategy, and account access with confidentiality and will not share this information with third parties except as necessary to deliver services (e.g., payment processors) or as required by law.
10. Website Use
Visitors to our website agree not to misuse the site, attempt unauthorized access to any systems, or use automated tools to scrape or copy site content without permission. All content on this website, including text, graphics, and design, is the property of Local SEO Portland unless otherwise credited.
11. Changes to These Terms
We may update these Terms of Service from time to time. The effective date will always be listed at the top of this page. Continued use of our website or services after changes are posted constitutes acceptance of the revised Terms.
12. Governing Law
These Terms are governed by the laws of the State of Oregon, without regard to conflict of law principles. Any disputes arising under these Terms shall be resolved in the state or federal courts located in Multnomah County, Oregon.
